Terms of Service

These terms govern your use of the Lex Civis marketing site (lexcivis.ai) and the Lex Civis Workspace product. By using the site or the workspace, you agree to them. If you don't agree, stop using the service.

Who we are

Lex Civis Inc (“Lex Civis,” “we”) is a Delaware C-Corporation that builds applied AI for the federal contracting market.

Marketing site (lexcivis.ai)

The marketing site is informational. Content here describes the product as it exists at time of publication. It does not constitute an offer, a binding commitment of contract vehicle access, or a warranty of fitness for any particular procurement. Engagements with Lex Civis are governed by the written agreement signed by both parties.

Workspace access (invite-only)

The Lex Civis Workspace is provisioned firm-by-firm. Access requires (a) submitting an access request through the marketing site, (b) a fit conversation with us, and (c) a written subscription agreement. We do not run a self-serve sign-up. A user who creates an authentication account without an invite has no right to workspace access.

Eligibility

  • You are 18 years of age or older.
  • You are acting on behalf of a business with a legitimate federal-contracting purpose.
  • You are not located in, or acting on behalf of an entity in, a country or by a party subject to U.S. trade sanctions that prohibit your use of the service.
  • You will keep your authentication credentials confidential and notify us promptly of any compromise.

Acceptable use

Use of the workspace is also subject to our Acceptable Use Policy (incorporated by reference). Short version: use the workspace for legitimate federal-contracting work, don't reverse-engineer or scrape it, don't upload material you don't have the right to upload, and don't use it to harm anyone.

Subscription & pricing

Workspace subscriptions are sold on a per-firm basis at the prices published on /pricing or in a written order form. The Founding Five cohort receives a locked rate as published. Subscriptions auto-renew at the then-current price unless cancelled in writing before the end of the term. Founding Five customers retain the locked rate at renewal.

Your data, our software

You retain ownership of the data you upload, generate, or otherwise place in the workspace (“Customer Data”). You grant Lex Civis a non-exclusive, worldwide license to host, process, transmit, and display Customer Data for the limited purpose of operating the workspace for you. We retain ownership of the workspace software, the agent designs, the user interface, the underlying capture methodology, and any modifications or improvements we make to them.

Confidentiality

We treat Customer Data as confidential. Per-firm isolation is a load-bearing design constraint of the workspace, not a marketing claim. We do not use Customer Data to train cross-tenant models. We do not disclose Customer Data to third parties except (i) to subprocessors necessary to operate the workspace (listed in the Privacy Policy), (ii) as required by valid legal process, with prompt notice to you where legally permitted, or (iii) with your written consent.

Warranty disclaimer

The workspace is provided “as is” and “as available.” We do not warrant that the service will be uninterrupted, error-free, or capable of producing any particular procurement outcome. Federal procurement decisions remain yours; we provide tooling, not legal advice.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the service. Each party's total aggregate liability for direct damages will not exceed the fees you paid to Lex Civis in the twelve months preceding the claim. Some jurisdictions do not allow these exclusions; in those jurisdictions our liability is limited to the maximum extent permitted by law.

Termination

You may cancel a workspace subscription at any time in writing. We may suspend or terminate access for material breach of these terms or the Acceptable Use Policy, or where required by law. On termination, the dual-custody escrow workflow described in the Privacy Policy applies: a 7-day cooling-off window for data export, then cryptographic purge of operational tenant data; minimal audit metadata persists for federal-contract retention requirements.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.

Changes

We may revise these terms as the product evolves and as our obligations change. Material changes will be posted at the top of this page and, for workspace customers, communicated by email at least 30 days before they take effect. Continued use after the effective date means you accept the revised terms.
